Position Overview:
Responsible to manage the legal and compliance function for the company. Work across projects, different renewable technologies (offshore wind, onshore wind, solar, batteries and PtX/hydrogen) and across the relevant Flagship and Energy Transition Funds.
The candidate will need to be deft in stakeholder management, interfacing with investment management / deal team members, Project CEO’s and construction teams, as well as the company leadership. The initial core deliverable will be to establish an effective Company and Project(s) governance set-up, which will require a hands-on approach to establishing a robust legal platform. Responsibility weighted towards management of existing contracts, with most origination and negotiation of new contracts conducted by external counsel.
Core Responsibilities:
Company / Corporate Legal Matters
- Manage company secretarial work, corporate documentation (e.g articles of association and project legal entity registrations), and Project board legal administration / authorisations
- Advise the company on the structuring of South Korea projects and entities Compliance
- Implement the company policies at project level, support HSE and employment law compliance, and monitor overall ESG performance
Establish Legal Processes & Procedures
- Ensure legal process, policies, procedures, templates, internal service agreements and training are in place and adhered to
Contracts
- Responsible for management of existing contracts (e.g Shareholder Agreements, JV agreements and supply-chain contracts where relevant), and protection of shareholder interests in relation to these
- Coordinate dispute resolution processes in cooperation with external counsel and the company legal
- Advise on tax law issues to the Project CFO’s and the company finance
- Support Project EPC leadership / procurement teams with drafting, negotiating and reviewing supply-chain contracts in cooperation with external counsel when required
Regulatory
- Advise permitting team with legal opinions and risk analysis on land, environmental, and marine matters in cooperation with external counsel
Project Finance
- Responsibility for management of legal PF compliance for existing projects. New project financing processes to be driven by external counsel
Management of external legal counsels
- Procurement and management of external legal services and associated budgets
- Responsible for effective interaction and interface between external legal counsel and the Korea organisation
Management of the company's Korea organisation and delivery of services
- Overall responsible for the delivery of legal services into the projects in accordance with the company and project needs
- Lead the commercial and operational management of the relevant corporate entities and ensure overall corporate, finance, tax and legal compliance
- Act in the interest of and on behalf of the shareholders, bridge between the Project team and the shareholders where necessary
- Lead the interface with the headquarters and ensure implementation of the company's global initiatives and standardised approaches
- Lead the interface with the relevant company funds, accommodate and collaborate on special/strategic in-country matters when required
Education & Qualifications:
- Bachelor of Law or equivalent degree
- 10 years + of legal experience in infrastructure or adjacent sectors in a project environment, working with multiple stakeholders
- Strong experience and technical knowledge in structuring, drafting and managing diverse legal matters in relation to (but not limited to) infrastructure development, corporate/company law, trust structure, environment, government matters, land acquisition, tax, dispute and workplace practices
- Commercially astute, with sharp analytical skills and ability to simplify complex legal issues.
- Proficient in identifying risks / opportunities and communicating (to non-lawyers), then devising mitigation plans
- Background in the renewables sector or other major infrastructure project development and operations is highly desirable
- Strong written, verbal and powerpoint communication skills, with the ability to deliver clear and concise messages to the stakeholders and process owners
- Hands-on approach, with the ability to take initiative and work proactively in a fast-changing and sometimes ambiguous environment
